An errors and omissions liability policy provides indemnity for sums the insured is legally obligated to pay as damages resulting from any claim brought by third parties for any wrongful act of the insurance in the performance of its duties.

Wrongful Act means any actual or alleged error, omission, misstatement, misleading statement, act or omission or neglect of duty, including misfeasance and nonfeasance, or any other matter claimed against an insured person by reason of their having had the position or status to act on behalf of the insured municipality.
